PART B — Member-Facing Brand-Use Terms (Effective September 17, 2026)
B.1 Ownership
Lotustay Inc. and/or its licensors own the names, logos, and marks associated with Lotustay Exchange, Lotus$ / Lotus Cash, and related Exchange branding (the “Exchange Marks”). Related “Lotustay” and Lotustay.com branding may be owned by Lotustay Inc. or by a licensor; either way, Members receive no ownership in any Lotustay-family mark by joining the club.
B.2 Limited license to Members
Subject to the Member / Club Rules and this Note, Operator grants each Member a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the plain-text names “Lotustay Exchange” and “Lotus$” (or “Lotus Cash”) solely as needed to:
- Identify that the Member participates in Lotustay Exchange; and
- Describe Lotus$ prices or balances in connection with lawful club listings and trades
—and only in a truthful, non-misleading way.
B.3 What Members may not do
Members may not:
- Use Exchange Marks or Lotustay-family branding to rebrand the Member’s own business, product, domain, app, or social identity (e.g., “Lotustay [Member Name] Hotels,” fake “official” accounts)
- Use logos, stylized wordmarks, or brand assets except as Operator expressly provides in writing or via official download kits
- Imply sponsorship, endorsement, employment, partnership, or joint venture with Operator, Lotustay Exchange, or the Lotustay.com lodging brand
- Describe Member-to-Member stays or trades as hotel bookings, “Lotustay.com reservations,” or Operator-operated lodging
- Register, reserve, or use domain names, social handles, trade names, or trademarks that are confusingly similar to Lotustay, Lotustay Exchange, Lotustay.com, Lotus$, or Lotus Cash
- Alter marks, combine them with other brands in a way that suggests a single product, or use them in disparaging or unlawful content
- Continue using marks after Operator revokes permission, suspends the account, or asks for removal
B.4 Quality and goodwill
All goodwill from Member use of Exchange Marks inures to Operator and/or its licensors. Operator may require correction or removal of any use that Operator reasonably finds confusing, low-quality, or brand-damaging.
B.5 No license to Lotustay.com lodging inventory marks beyond identification
Nothing in this Note licenses Members to use Lotustay.com creative, hotel-style trade dress, or booking UI elements, or to present Exchange activity as Lotustay.com inventory. Operator’s possible enablement of Lotus$ toward designated Lotustay.com inventory (Ledger Terms §5A; soft nights for Levels 1–7; Level 8 exception) does not expand Member brand rights and does not authorize Members to advertise unrestricted Lotustay.com stays payable in Lotus$ outside published Path / soft-night rules (including, for Levels 1–7, holiday nights or weekends not designated unfilled/low-demand). Cross-promotion, if any, requires Operator’s prior written approval and a confirmed Inc. ↔ .com license/commercial arrangement where entities differ.
B.6 Infringement reporting
Report suspected misuse of Lotustay-family marks related to the Exchange to [email protected]. Operator may act administratively under the Member / Club Rules without undertaking a duty to police all third-party uses.
B.7 Relationship to other terms
This Part B supplements Member / Club Rules §9 (Intellectual Property and Content License). Operator’s ownership of the platform and branding described there remains in effect. Website Terms and any published Brand Guidelines also apply.
B.8 Governing law
California law; venue Orange County, California—same as the Member / Club Rules.
